“Sustainability considerations are becoming increasingly central in the mergers and acquisitions dealmaking process, with more than 70% of M&A leaders reporting abandoning potential acquisitions over ESG concerns, and a vast majority saying they would be willing to pay more for targets with strong ESG attributes, according to a new survey released by global professional services firm Deloitte. For the report, Deloitte surveyed 500 M&A leaders from corporations with at least $500 million in revenue and private equity firms with at least $1 billion in assets under management, across North America, Europe & Middle East and Asia Pacific regions. The survey found that ESG factors were becoming increasingly integrated into the M&A process, with a growing impact on target considerations, due diligence, final decision making and valuation, particularly as sustainability-related data becomes more readily available, and as companies evolve their understanding of ESG issues. For example, while 99% of respondents reported that their organizations measure the potential impact of an M&A transaction on their ESG profile, up from 92% in a prior survey 2 years ago, 57% reported that they do so with clearly defined metrics, up from only 39% in the earlier survey. Similarly, more than 90% said that they have a high or very high level of confidence in accurately evaluating a potential acquisition target’s ESG profile, compared to less than 75% in the 2022 survey.”

Zach points out that these granular assets, typically valued around the €20 million mark, can often be acquired on favourable terms, and offer multiple exit strategies. Arrow leverages its large, localised teams to source these granular opportunities, which are generally less intermediated, and more liquid compared to larger transactions. With about €80 billion in assets under management, Arrow's approach capitalises on the direct sourcing from its extensive network, making the most of the fragmented European real estate market by focusing on high-demand sectors such as multi-family residential and student housing. Looks like regulatory agencies are focusing on limiting discrimination in this guidance. What isn't explicitly stated but appears to be an underlying theme, is the consideration of disparate impact. If you are making residential real estate loans, I think it will be imperative to have third party reviews that support your processes are not discriminatory, even indirectly. Small-cap office REIT Alexander's (ALX) - which owns five NYC properties and is externally managed by Vornado Realty Trust (VNO) - rallied 7% today after it announced that it reached a lease extension agreement with its largest tenant, Bloomberg LP, which accounts for roughly 50% of its annual revenues. The lease for 947k SF of space at 731 Lexington Avenue property - known informally as Bloomberg Tower - was scheduled to expire in February 2029, but was extended by another decade to February 2040. The pricing of the renewal was not disclosed. Bloomberg uses the 56-story tower as its headquarters for roughly 7,000 of its 12,000 employees and as its primary media studio for TV and radio broadcasts. The mixed-use property - which has a 1.3M SF in total - was built in 2004 atop a former Alexander's department store, including 250k SF of ground-level retail below the office levels and a residential condominium atop those levels. Vornado owns 32% of Alexander's - an interest that had previously been owned by Donald Trump - part of the firm's colorful history that included a "rebirth" as an NYC-focused office REIT following the closures of its 16 department stores in the early 1990s. “Several big office buildings nationwide — including in Manhattan — have recently sold at steep discounts of as much as 70 percent to opportunistic buyers, who are gambling that they will score big profits when prices eventually rebound. In April, a little-known firm, Yellowstone Real Estate Investments, paid $185 million for 1740 Broadway, a storied office tower near Columbus Circle in Manhattan. The investment giant Blackstone had paid $600 million for the building a decade earlier. And this week, two real estate firms snapped up a Midtown Manhattan tower for less than $50 million, according to Bloomberg. Even though these are relatively small buyers, their emergence is a sign of the pain building in the U.S. commercial real estate market. Distressed deal-making is one of the more visible illustrations of trouble brewing in the sector that could lead to large losses for hundreds of banks and investors in real-estate-backed loans. (…) …lenders and investors in bonds backed by commercial real estate loans are trying to stave off foreclosures of buildings and having to incur big losses through distressed sales. Instead, many have given property owners more time, hoping they can recruit new tenants and restart mortgage payments. That strategy is keeping a lid on the number of distressed buildings currently up for sale. But at some point, foreclosures and distressed sales become inevitable, and that is happening in New York, Chicago and Los Angeles. So far this year, 16 office buildings with mortgages that were packaged into commercial real estate bonds were foreclosed on or extinguished — resulting in $500 million in losses for investors nationally, according to Trepp, a data and research firm. Last year, 26 mortgages packaged into bonds were foreclosed on or extinguished, resulting in $265 million in losses for investors. The dollar value of those losses is small given that about $171 billion worth of office building mortgages has been packaged into bonds. But Trepp has placed more than a quarter of those loans on a watch list for potential problems — meaning more distressed sales could be in the offing.”
